Article 1: Definitions

1.1 Celesta Consultancy: The company located at Bulgersteyn 7247 in Rotterdam, registered with the Chamber of Commerce under number 96184043, providing business consulting services.
1.2 Client: Any natural or legal person entering into an agreement with Celesta Consultancy.
1.3 Agreement: Any arrangement between Celesta Consultancy and the Client regarding the provision of services.
1.4 Services: All advisory services offered and delivered by Celesta Consultancy to the Client.

Article 2: Applicability

2.1 These terms and conditions apply to all offers, agreements, and service deliveries by Celesta Consultancy, unless explicitly agreed otherwise in writing.
2.2 Deviations from these terms are only valid if expressly agreed upon in writing.

Article 3: Offers and Agreements

3.1 All offers made by Celesta Consultancy are non-binding and valid for 30 days, unless stated otherwise.
3.2 An agreement is established once the Client has accepted an offer in writing or electronically.

Article 4: Execution of Services

4.1 Celesta Consultancy will execute the services to the best of its knowledge and ability.
4.2 The Client is required to provide all necessary information and cooperation in a timely manner to ensure proper execution of the agreement.

Article 5: Payment

5.1 Invoices must be paid within 14 days of the invoice date, unless otherwise agreed in writing.
5.2 In case of late payment, the Client is in default without further notice and statutory interest will be charged.

Article 6: Liability

6.1 Celesta Consultancy is only liable for direct damage resulting from intent or gross negligence.
6.2 Celesta Consultancy is not liable for indirect damage, such as consequential damage or loss of profit.

Article 7: Confidentiality

7.1 Both parties are obligated to maintain confidentiality regarding all confidential information obtained from each other within the scope of the agreement.

Article 8: Governing Law and Disputes

8.1 All agreements are exclusively governed by Dutch law.
8.2 Disputes will be submitted to the competent court in Rotterdam where Celesta Consultancy is established.
